Terms of Service

By accessing registeredagentics.com, creating an account, signing a service agreement, or using any service offered by Registered Agentics LLC ("Registered Agentics," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional agreements applicable to the specific service tier you select.

If you are entering into these Terms on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.

Registered Agentics provides Wyoming-based legal entity formation, registered agent services, and managed AI hardware infrastructure. We offer three primary service tiers:

Service availability, pricing, and included features are subject to change with 30 days' written notice to active clients.

You must be at least 18 years of age and legally capable of entering into binding contracts to use our services. By using our services, you represent and warrant that:

• —You are a human individual, corporation, partnership, or other recognized legal entity;
• —You have the legal right and authority to form, own, or manage a Wyoming LLC;
• —Your intended use of the AI agent and associated LLC complies with all applicable federal, state, and local laws;
• —You are not located in a jurisdiction where our services are prohibited;
• —All information you provide to us is accurate, current, and complete.

4.1 Payment

All fees are stated in US dollars and are due in advance of the service period. Payment is processed via Stripe. By providing payment information, you authorize Registered Agentics to charge you for all fees incurred under your selected service tier. Fees are non-refundable except as expressly stated in these Terms or required by applicable law.

4.2 Billing Cycles

Developer tier subscriptions are billed annually. B2B tier subscriptions may be billed monthly or annually (20% discount applied to annual upfront payment). Enterprise tier billing is established in your individual service agreement. Your billing cycle renews automatically unless you cancel in accordance with Section 10.

4.3 Price Changes

We may change our fees at any time. For existing subscriptions, any price increase will take effect at the next renewal date, with at least 30 days' advance notice sent to the email address on your account.

4.4 Taxes

Registered Agentics is based in Wyoming, which imposes no state income tax on LLCs. However, you remain solely responsible for determining and remitting any federal, state, or local taxes applicable to your use of our services, including any taxes on income generated by your AI agent or LLC.

4.5 Failed Payments

If a payment fails, we will retry the charge up to three times over seven days. If payment remains outstanding after this period, your service may be suspended. Continued non-payment may result in termination of your account and, for B2B clients, forfeiture of hardware ownership eligibility in accordance with Section 5.

5.1 Hardware Provision

Under the B2B tier, Registered Agentics provisions a dedicated Apple Mac Mini M4 and external storage device at our Wyoming facility on your behalf. The hardware is purchased and initially owned by Registered Agentics and leased to you during the contract period.

5.2 Hardware Ownership Transfer

Legal ownership of the Mac Mini and associated storage hardware transfers to the Client upon the successful completion of 12 consecutive full monthly payment periods. An "ownership transfer" consists of written confirmation from Registered Agentics and, where applicable, updated documentation reflecting the transfer of the physical asset.

5.3 Early Cancellation — Hardware

If you cancel your B2B subscription before completing 12 consecutive months:

• —Hardware ownership does not transfer to you.
• —Within 2 weeks of cancellation, you may purchase the hardware outright at the then-current retail price of the Mac Mini M4 plus associated peripherals.
• —If you elect not to purchase within this 2-week window, the hardware remains property of Registered Agentics.
• —Your client data will be exported and made available to you for download or physical shipment per Section 10.3 before secure erasure.

5.4 Post-Ownership Service Fee

After hardware ownership transfers, clients who wish to continue using our registered agent service, OpenClawd software access, or Wyoming facility hosting must enter a separate reduced-rate annual service agreement. Pricing for this post-ownership tier will be communicated no later than 60 days before your 12-month period concludes.

5.5 Hardware Damage & Loss

Prior to ownership transfer, Registered Agentics bears responsibility for hardware maintenance, failure, and replacement due to normal wear. Damage caused by the Client's instructions or actions (including software misconfiguration that causes physical harm to the device) may result in replacement costs billed to the Client. After ownership transfer, maintenance and replacement are entirely the Client's responsibility.

6.1 Scope of Service

Registered Agentics acts as the statutory registered agent for each Wyoming LLC formed or maintained under your subscription. As your registered agent, we will:

• —Maintain a physical Wyoming street address (not a PO Box) on file with the Wyoming Secretary of State;
• —Accept service of process, legal notices, and official government correspondence on behalf of your LLC during normal business hours;
• —Forward received legal correspondence to your email address on file within one business day of receipt;
• —Provide annual report filing reminders; annual report filing may be performed by us as an included or add-on service depending on your tier.

6.2 Client Obligations

You are responsible for keeping your contact information current in your client portal. Registered Agentics is not liable for missed correspondence resulting from outdated contact details. You must promptly respond to any legal notice forwarded by us and engage qualified legal counsel as needed. Registered Agentics does not provide legal advice.

6.3 Resignation as Registered Agent

If your subscription lapses or is terminated, Registered Agentics will resign as your registered agent in accordance with Wyoming law (W.S. § 17-28-107). You are responsible for appointing a successor registered agent to maintain LLC compliance. Failure to do so may result in administrative dissolution of your LLC by the Wyoming Secretary of State, for which Registered Agentics bears no liability.

7.1 Client IP Ownership

All intellectual property generated by your AI agent operating within your LLC — including but not limited to text, code, data analyses, creative works, research outputs, and agent memory — is and remains your property (or the property of your LLC, as you have structured your operating agreement). Registered Agentics claims no ownership over any AI-generated output produced within your dedicated environment.

7.2 Operating Agreement

To ensure clean IP chain of title, we strongly recommend including an explicit IP assignment clause in your LLC Operating Agreement. Template language is available for review at /operating-agreement. Registered Agentics offers Operating Agreement drafting as a paid add-on service ($200, one-time).

7.3 Registered Agentics IP

All trademarks, service marks, logos, website content, software configurations, provisioning scripts, and proprietary processes owned by Registered Agentics remain exclusively our property. You may not copy, reproduce, or create derivative works from our materials without prior written consent.

7.4 Open-Source Software

Our infrastructure stack includes open-source components (including OpenClawd, Coolify, and other tools). Your use of those components is governed by their respective open-source licenses, not by these Terms.

7.5 No AI Output Liability

You are solely responsible for reviewing, approving, and taking legal responsibility for any output produced by your AI agent. Registered Agentics is not liable for decisions made by, or consequences arising from, the outputs of AI agents operating within your environment.

You agree not to use our services to:

• —Violate any applicable federal, state, or local law or regulation;
• —Form LLCs or operate AI agents for the purpose of fraud, money laundering, or any financial crime;
• —Generate or distribute illegal content, including material that infringes intellectual property rights;
• —Conduct unauthorized access to third-party systems, networks, or data (including any form of hacking, scraping without authorization, or credential stuffing);
• —Engage in any activity that creates liability for Registered Agentics or disrupts the infrastructure shared among our clients;
• —Attempt to access other clients' machines, data, or network segments;
• —Use the registered agent address for purposes other than official LLC correspondence;
• —Misrepresent your identity, your business, or the purpose of your LLC to the Wyoming Secretary of State or any government authority.

Violation of this section may result in immediate suspension or termination of your account without refund, and may be reported to appropriate law enforcement authorities.

9.1 Privacy Policy

Our collection, use, and protection of your personal and business data is governed by our Privacy Policy, incorporated herein by reference.

9.2 Hardware Isolation

Each B2B and Enterprise client is assigned a dedicated Mac Mini. No hardware, storage, or operating environment is shared between clients. Your data does not reside on any multi-tenant system.

9.3 Encryption

Client data is encrypted at rest using AES-XTS 128-bit encryption (FileVault 2 on the internal SSD) and AES-XTS 128-bit APFS encryption on the external HDD. Offsite backups are encrypted client-side using AES-256 before leaving the machine. All data in transit is protected by TLS 1.2 or higher.

9.4 Operator Access

Registered Agentics personnel do not access your machine workspace except in the event of: (a) a hardware failure requiring emergency recovery, or (b) a valid legal requirement. Any operator access to your client data will be logged and you will be notified within one business day.

9.5 Breach Notification

In the event of a confirmed data breach involving your data, Registered Agentics will notify you within 72 hours of confirmation. Notification will include the nature of the data affected, the approximate date of the incident, and the remediation steps taken.

10.1 Cancellation by Client

You may cancel your subscription at any time through your client portal or by written notice to legal@registeredagentics.com. Cancellation takes effect at the end of the then-current billing period. Fees already paid are non-refundable unless required by applicable law.

10.2 Termination by Registered Agentics

We may suspend or terminate your account immediately if you: (a) breach any provision of these Terms; (b) fail to make payment within 14 days of a failed charge; (c) engage in any prohibited use under Section 8; or (d) conduct yourself in a manner that creates legal exposure or reputational harm to Registered Agentics or other clients.

10.3 Data Return & Deletion Upon Termination

Upon termination or cancellation of a B2B or Enterprise subscription:

• —We will stop your AI agent and pause all automated processes.
• —Within 5 business days, we will create a final encrypted backup and make it available to you for download or physical shipment (your choice).
• —Upon your confirmation of receipt, or after 30 days (whichever is earlier), we will securely erase the internal SSD, external HDD, and all offsite backup repositories associated with your machine.
• —Secure erasure uses macOS Secure Erase for SSD and reformatting with a new encryption key for the HDD, followed by physical verification.
• —We will provide written confirmation of data deletion upon request.

10.4 Registered Agent Resignation

Following termination of service, Registered Agentics will file a resignation as your registered agent with the Wyoming Secretary of State. You have 30 days to appoint a successor registered agent. You remain responsible for all Wyoming annual report obligations and LLC fees regardless of whether our service continues.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REGISTERED AGENTICS SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO REGISTERED AGENTICS IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) $500 USD.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12.1 No Legal Advice

Registered Agentics is not a law firm. We provide administrative LLC formation and registered agent services. Nothing we communicate — including these Terms, our website content, or any staff communication — constitutes legal advice. You should consult a licensed Wyoming attorney for legal questions regarding your LLC structure, operating agreement, IP ownership, or compliance obligations.

12.2 No Tax Advice

We highlight Wyoming's 0% state income tax as an advantage of LLC formation in Wyoming. This is a factual attribute of Wyoming law and is not tax advice. Your specific tax obligations depend on your residency, business operations, and federal tax elections. Consult a CPA or tax attorney.

12.3 Services "As Is"

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

12.4 AI Output Disclaimer

AI agent outputs are not guaranteed to be accurate, complete, or suitable for any particular purpose. You bear full responsibility for reviewing and validating any AI output before acting on it. Registered Agentics is not liable for decisions made in reliance on AI-generated content.

You agree to indemnify, defend, and hold harmless Registered Agentics, its members, managers, employees, agents, and service providers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• —Your breach of these Terms;
• —Your use of our services in violation of any applicable law;
• —Any content or data you transmit through our systems;
• —Any claim that your AI agent's output caused harm to a third party;
• —Your LLC's legal obligations, debts, or liabilities.

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. The Wyoming LLC Act (W.S. §§ 17-29-101 et seq.) and Wyoming Registered Agent statutes apply to our registered agent obligations.

14.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or our services shall first be submitted to good-faith negotiation between the parties. If the dispute is not resolved within 30 days, it shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with proceedings conducted in Sheridan County, Wyoming.

14.3 Class Action Waiver

You waive any right to bring or participate in any class action, class-wide arbitration, or representative proceeding against Registered Agentics.

14.4 Equitable Relief

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

We reserve the right to modify these Terms at any time. When we make material changes, we will provide at least 30 days' advance notice via email to the address on your account and by posting the updated Terms at registeredagentics.com/terms with a revised effective date. Your continued use of our services after the effective date constitutes acceptance of the revised Terms.

If you do not agree to the modified Terms, you must cancel your subscription before the effective date of the changes. Cancellation instructions are in Section 10.1.
