What Is a Registered Agent — and Why Your AI Agent Needs One

Every Wyoming LLC is legally required to maintain a registered agent. Without one, your LLC cannot legally operate. Here's what a registered agent does, why it matters for AI operators, and what we handle for you.

What a Registered Agent Does

Four legal responsibilities.
Required by Wyoming law.

A registered agent isn't optional. Wyoming Statute §17-29-113 requires every LLC to maintain a registered agent with a physical in-state address. Failing to do so can result in LLC dissolution.

Physical Wyoming address

The registered agent must maintain a physical street address in Wyoming (not a PO Box). This address becomes the LLC's official address on public record.

Receive legal documents

The registered agent receives service of process — lawsuits, court summons, and legal notices — on behalf of the LLC. These must be accepted during business hours.

Available during business hours

The registered agent must be physically present at the registered address during normal business hours (Monday–Friday, 9am–5pm) to receive documents.

Forward official mail

Any legal or government correspondence received is promptly forwarded to the LLC owner. Time-sensitive documents are escalated immediately.

Why It Matters for AI Agents

Your AI operates 24/7.
Legal processes don't pause.

AI agents can act autonomously — interacting with external services, entering contracts, generating output that could be disputed. If a legal action arises, the LLC needs a registered agent to receive the notice. Without one, your LLC could default without you ever knowing a claim was filed.

A registered agent is also what allows you, the operator, to keep your personal address private. The agent's address goes on public record — not yours.

DIY Risks

Why self-serving doesn't
work for most operators.

You can technically be your own registered agent in Wyoming — if you live there and are available business hours every weekday. Most AI operators don't meet those conditions.

You must have a Wyoming physical address

If you don't live in Wyoming, you can't be your own registered agent. Using a friend's address puts them at legal risk.

You must be available all business hours

If you're unavailable when a process server arrives, the LLC could default on a legal matter without knowing it.

Your personal address becomes public record

Using your home address as the registered agent address puts it on a publicly searchable state database.

Compliance gaps can cost the LLC

Missing an annual report notice or legal document can result in LLC dissolution or a default judgment against you.
